I. Services Provided by Happy Jack Software, Inc.

Happy Jack Software, Inc. is an online calendar Service that allows you to enter, store, modify and view calendar data over the World Wide Web. Happy Jack Software, Inc. reserves the right at any time and from time to time to modify the Service with or without notice.

Industry Specific Standards

You acknowledge and agree that the Service does not comply with any industry specific standards and practices such as "HIPAA". You are solely responsible for using the Happy Jack Software, Service in a manner consistent with all applicable federal and state privacy laws relating to your particular industry.

II. Your Responsibilities: Acceptable Use Policy

By submitting any Content to Happy Jack Software, Inc, you warrant that: (i) you are the owner of the calendar Content or you have been granted all the rights necessary from the owner of the Content to submit Content to Happy Jack Software, Inc.

III. Proprietary Rights: Content Submitted to the Service

Content prohibited by the Service includes, but is not limited to, Content that contains or contains links to nudity, pornography, adult content, sex, extreme violence, racism, gambling, raffles, lotteries or material that is otherwise objectionable in the opinion of Happy Jack Software, Inc.

IV. Term and Termination

The Service Agreement License shall be effective upon registration and thereafter shall continue on a month-to-month basis or a year-to-year basis, depending on subscription type, or until terminated with five days e-mail notice by either party. Cancellation request email may be sent to info@happyjacksoftware.com.

V. Termination by Happy Jack Software, Inc.

You acknowledge and agree that Happy Jack Software, Inc. at its sole discretion, may suspend or terminate your account and/or deny you access to, use of, or submission of Content for, all or part of the Service, without prior notice and for any reason, including if you engage in any conduct that Happy Jack Software, Inc. believes: (a) violates the letter or spirit of any term or provision of the Service Agreement License, (b) violates the rights of Happy Jack Software, Inc. or third parties, or (c) is otherwise inappropriate for continued access and use of the Service.

VI. Transfer of License

To transfer a license to use the Calendar Service, a written request to transfer the license to another person or organization shall be submitted to Happy Jack Software, Inc. via fax or email. Email addresses must match the current account holder's address on file with Happy Jack Software, Inc. and verification of the transfer must be received from the current account holder's address.

VII. Disclaimer of Warranties; Indemnity; LIMITATION OF LIABILITY

YOU EXPRESSLY UNDERSTAND AND AGREE THAT;

(a) YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. HAPPY JACK SOFTWARE, Inc. AND ITS SUPPLIERS MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, IN CONNECTION WITH THE TERMS OF SERVICE OR THE SERVICE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, UNLESS SUCH REPRESENTATIONS AND WARRANTIES ARE NOT LEGALLY EXCLUDABLE.

(b) HAPPY JACK SOFTWARE, Inc. MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS OR RESULT IN REVENUES OR PROFITS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
